Bankruptcy administrator plays a very important role in bankruptcy procedure and is the focus of benefits conflict. When enterprises enter the stage of bankruptcy liquidation, interests involved will become complicated and each subject status in the bankruptcy will change with it. it is closely related to the way of carrying out the work that whether bankruptcy procedure can run fairly and efficiently and whether the bankruptcy administrator can protect the legitimate rights of beneficiaries concerned. Therefore, study the improvement of bankruptcy administrator system in China not only contribute to regulate bankruptcy administrator professional development, but also help to protect bankruptcy procedure going smoothly. Based on actual situations of bankruptcy in China, through comparing with law-making stipulations in other countries, reveals the current situation of legislation of the bankruptcy administrator system of China, analyzes the existing legal problems in current system, explores the relevant legal roots and puts forward some legislative proposals to improve the bankruptcy administrator system of China. The first part is the introduction,which mainly introduces the current situation and problems of bankruptcy administrator,as well as the research scope and research methods. The second part is the study on the legal status of bankruptcy administrator . Introduce and assess several theories of the state bankruptcy administrators’ legal status in Continent Legal System and British-American Legal System, in comparison with different theories, shows the legal status of bankruptcy administrator, which is more suitable for China's national condition. The third part is a propose to establish the fund of the bankruptcy administrator. The fund of the bankruptcy is used to solve the realities that there isn't enough money to pay for the bankruptcy administrator reward. The fourth part is study on the selection of bankruptcy administrator system. First, sums up the current legislative status of China in terms of selection subject, qualification, mode, time. Afer that, analyzes defects in China's selection system and put forward relevant legislative proposals. The fifth part is about bankruptcy administrator supervision system. In order to insure the smooth performance of duties and bankruptcy procedure, an effective bankruptcy administrator supervision system is extremely essential. According to our country's bankruptcy legislation present situation, refining out the experience of the foreign bankruptcy administrator supervision system in use for China. The sixth part discusses the civil liability of bankruptcy administrator. According to current development of domestic and foreign liability insurance system, analyzes the necessity of establishing liability insurance bankruptcy administrators, and to make concrete recommendations to improve. 破产管理人在破产程序中有着非常重要的作用，处于各方利益冲突的中心。当企业进入破产清算的程序，所涉及的利益就会变得复杂，而且破产程序中各个利益主体的地位也会随之发生改变。因此，破产程序能否公正、高效地运行，能否维护各方利益主体的合法权益都与破产管理人的工作息息相关。所以，研究我国破产管理人制度的完善不仅有利于规范我国破产管理人职业的发展，更有助于企业破产清算程序顺利进行。本文立足我国的实际情况，通过对比国外相关法律的规定，结合我国破产管理人制度的立法现状，分析现有制度存在的法律问题，探讨导致这些问题的根本原因，并提出一些合理的建议以期完善我国破产管理人制度。 本文第一部分是导论，主要是介绍破产管理人研究的现状和存在的问题，以及研究范围和研究方法。第二部分主要讨论破产管理人的法律地位。在介绍和评论大陆法系和英美法系破产管理人法律地位的学说的基础上，通过对不同学说的比较，得出更适合我国国情的破产管理人法律地位的结论。第三部分主要提出建立破产管理人报酬基金的建议。针对破产财产不足以支付破产管理人报酬的现实问题，提出建立破产管理人报酬基金的构想。第四部分主要探讨破产管理人的选任。首先，归纳总结我国破产管理人选任主体、选任资格、选任方式和选任时间等立法现状，然后分析我国选任制度的不足，进而提出相关的法律建议。第五部分是关于破产管理人的监督问题。为了保障破产管理人职责的履行和破产程序的顺利进行，有效的监督机制是必不可少的。因此，结合我国破产立法的现状，提出借监相关外国破产管理人监督制度的建议。第六部分主要讨论破产管理人的民事法律责任。根据国内外责任保险的发展现状，分析我国建立破产管理人执业责任保险的必要性，提出具体的完善建议。 关键词：破产管理人，选任，监督
