There is a growing interest in corporate value and corporate performance but where do they come from and what are the determinants? This thesis argues that they are determined by the corporate governance structure, and concentrates on the relationship between the board of directors structure and corporate governance that explore the relationship between corporate governance and corporate performance are mainly focusing on the western developed markets(Daily et al., 2023), therefore, in this thesis, we complement and extend these recent works to a different as well as an emerging economy, China, where relatively few research has been focused on and less effort has been devoted to. In the thesis, we firstly review the corporate governance literatures. Next up, we shall examine the corporate governance characteristics of the Chinese listing companies. Then by using three years data from 2007 to 2009, we shall explore the relationship between the board of directors structure and corporate performance in these Chinese listing companies. Finally, based on the findings and results, we propose our won suggestions to the Chinese listing enterprises and Chinese authorities concerned in the hope of helping them improve corporate governance better and further.
